Sales Terms

 

These terms and conditions of sale apply to all goods or services supplied by Holoxica Ltd, headquartered at Enterprise Hub, Murchison House, 10 Max Born Crescent, Edinburgh EH9 3BF, United Kindom. The company registration number is 6587101 and the registered office is in London, England. The VAT nr is: GB 984 9929 34. The Company reserves the right to change these terms and conditions at any time without notice. These terms of sale and the supply of the goods are subject to Scottish law and Scottish courts.

Sale contract

These terms and conditions apply to the sale of goods or services between “You” the Buyer (consumer or business) and the Seller (Holoxica Ltd, the company and its suppliers or manufacturers). A binding legal contract exists between the Buyer and Seller when the Seller receives and accepts an order for the goods or services; and the Seller sends a confirmation to the given email address.

Holoxica offers both standard goods and services as well as custom solutions.

Cancellation for online orders

In compliance with the ‘Distance Selling Regulations 2000′, UK-based consumers have the right to cancel the contract from the date of order placement up to seven working days after delivery, starting from the day after delivery. The goods must be unopened and in a perfect re-sellable condition. The cooling off period does not apply to non-standard or customised goods made to the buyer’s specifications. Buyers may exercise their right of cancellation by notifying the company in writing at the address given above. Orders returned within the 7 working day cooling off period will be subject to the costs of recovery of the goods including packaging, delivery, collection of the goods or other recovery costs. Once the buyer has notified the Seller of the cancellation and returned the goods in a satisfactory condition, the Seller will refund the outstanding sum within 30 days.

Description and pricing

The description and price of goods are shown on the company’s website when the online order is placed. The description of custom goods and services may be submitted online via the company’s website and pricing shall be agreed in writing with a quotation. Every attempt is made to ensure that the prices shown on the company’s website are accurate when the order is placed. In the rare event of an error being found, the Seller will inform the Buyer as soon as possible and offer the Buyer the option of either reconfirming the order at the correct prices or cancellation of the order. In the event of cancellation, any sums paid by the Buyer shall be refunded or re-credited. Unless otherwise stated, the pricing of goods and delivery charges on the website are inclusive of UK Value Added Tax (VAT) if applicable. Delivery charges shall be applicable to the postage and packaging on the website at the checkout stage.

Payment terms

Payment and delivery of goods and services can be made via the methods shown on the Seller’s website when the order is placed. Credit and debit card payments are taken when the order is placed and in some cases when the goods are dispatched. For UK-based business customers, payment terms on invoices due is within 30 days of delivery. For orders exceeding £1,000, 50% of the invoice is due on or before design sign-off. The remainder is due within 30 days of delivery. For international customers, payment in full is required on design sign-off, before the design goes into production.

Delivery

The goods shall be delivered to the address given when the order is placed. The delivery is made by the Seller’s choice of courier. It is the Buyer’s responsibility to check all goods upon delivery. The Buyer become the owner of the goods upon delivery to the specified address and becomes responsible for risk of loss or damage thereafter. The goods will be dispatched as soon as possible, within seven to ten days, within a maximum of thirty days of the order. The Seller shall not be liable for any loss or damage suffered by the Buyer through unavoidable or reasonable delay in delivery.

Warranty and returns

The delivered goods are warranted by the manufacturer to be free from defects for one year from the date of delivery. This warranty does not affect the Buyer’s statutory rights as a consumer. Goods found to be defective under the warranty will be repaired or replaced with an item of an equal or better performance or equal or higher value at the time an RMA (Return Material Authorisation) is generated by the Seller. This warranty applies to the use of the goods in indoor environments under the correct lighting conditions. This warranty does not cover use of the goods in outdoor conditions or if they are exposed to sunlight. This warranty does not apply to any defect in the goods arising from fair wear and tear, wilful damage or accident. Similarly, this warranty does not apply to consumables such as light bulbs. Accessories are only warranted for use with the products supplied by the Company. If the goods develop a defect while under warranty, or any other complaint about the goods, the buyer should notify the Seller in writing at the address shown above. The Buyer shall be responsible for ensuring the item is packaged suitably and safely until the company confirms the item has arrived back safe and secure. If an item is returned to the company and is found not to be defective, the Buyer shall be charged for the return delivery costs as well as any collection costs. This currently stands at £20 + VAT. The company reserves the right to charge for labour if deemed necessary.

Privacy and data protection

All online payments are handled with a secure server via a third-party payment gateway. The Seller will take all reasonable precautions to keep the details of the order and payment secure, but unless the Seller is negligent, the Seller will not be liable for unauthorised access to information supplied by the buyer. Intellectual Property

All designs, copyright and other intellectual property rights associated with the standard goods belong to the Seller and/or the manufacturer of the goods. Copyright of designs for custom goods shall remain with the buyer and it is the buyer’s responsibility to ensure that they have the appropriate copyrights to use the material. Intellectual property associated with custom goods or services may be subject to a separate agreement.
